This Terms and Conditions (T&Cs) agreement governs your use of the website, pilolo.in, and the services offered by Pilolo for purchase on this website. Your acceptance of these T&Cs is on behalf of yourself, and you confirm that you are legally permitted to enter into this agreement and accept the T&C as an individual. You acknowledge that these T&Cs legally bind you and agree to all the policies and guidelines referred to in this agreement. This T&C does not change the terms or conditions of any other written agreement you may have with us for other products or services. This Website is a children's clothing organization providing online retail sales of children’s clothing hereinafter referred to as our ‘Product’ or ‘Services.’ By ordering our Product through this Website or by using this Website, You agree to the terms outlined in this T&C.

We have proprietary rights and trade secrets in the Services and Website. we also have rights to all trademarks and trade dress and specific layouts of this Website, including calls to action, text placement, images and other information. Our maximum liability shall not exceed the order amount (if any) paid by the concerned member.

You will release, indemnify, defend, and hold harmless any of its contractors, agents, employees, officers, directors, shareholders, affiliates, and assigns from all liabilities, claims, damages, costs, and expenses, including reasonable attorneys' fees and expenses, of third parties relating to or arising out of (1) this T&C or the breach of Your warranties, representations and obligations under this T&C; (2) the Website content or Your use of the Website content; (3) the Services or Your use of the Services and purchase of products; (4) any intellectual property or other proprietary rights of any person or entity; (5) Your violation of any provision of this T&C; or (6) any information or data You supplied to us. When we are threatened with suit or sued by a third party, we may seek written assurances from You concerning Your promise to indemnify us; We may consider your failure to provide such assurances to be a material breach of this T&C. We will have the right to participate in any defence by You of a third-party claim related to Your use of any of the Website content or Services, with counsel of our choice at your expense. 1. Governing Law & Dispute Resolution

These T&Cs shall be governed by and construed by the laws of the Republic of India, without regard to its conflict of laws principles. Any dispute/differences arising out of or touching this T&C shall be referred to arbitration as per the Arbitration & Conciliation Act, 1996, by a sole arbitrator appointed as per the Act thereof. The seat/venue of arbitration shall be Chennai, Tamil Nadu. The award passed by the arbitrator shall be final and binding. The courts at Chennai, Tamil Nadu, shall have exclusive jurisdiction over this T&C.

 

1. Investigation 

We have the right to investigate and prosecute violations of these T&Cs and may involve law enforcement authorities in such prosecution. You acknowledge that we have no obligation to monitor Your access to or use of the Services but have the right to do so to provide the Services, to ensure Your compliance with these T&Cs, or to comply with applicable law or the order or requirement of a court, administrative agency, or other governmental body.

1. Accounts, Passwords, and Security

1. Certain features or services offered on or through our Websites may require you to open an account (including setting up an Account ID and password) and to share personally identifiable information (PII). Apart from the representations made in our Privacy Policy regarding our protection of your information, you are solely and entirely responsible for maintaining the confidentiality of your account information, including your Account ID and password, and for any activity on or under your account. Force Majeure: We will not be deemed in default hereunder or held responsible for any cessation, interruption, or delay in the performance of its obligations hereunder due to any act of god, including but not limited to earthquake, flood, fire, storm, natural disaster, war, terrorism, armed conflict, labor strike, lockout, or boycott.

1. Cessation of Operation: we may at any time, in its sole discretion and without advance notice to You, cease operation of the Website and its Services. 

1. Entire Agreement: This Agreement comprises the entire agreement between You and us and supersedes any prior agreements about the subject matter.

1. Effect of Waiver: 

The failure of us to exercise or enforce any right or provision of this T&C will not constitute a waiver of such right or provision. Suppose any provision of this T&C is found by a court of competent jurisdiction to be invalid. In that case, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of this T&C remain in full force and effect.

1. Termination: we reserve the right to terminate Your access to the Website if it reasonably believes, in its sole discretion, that You have breached any of the T&C. Following termination, you will not be permitted to use the Website and we may, in our sole discretion and without advance notice to You, cancel any outstanding orders for Services and existing Services. If Your access to the Website is terminated, we reserve the right to exercise whatever means it deems necessary to prevent unauthorized access to the Website. This T&C will survive indefinitely unless and until we choose to terminate it, at our sole discretion and without advance notice to You.
